By engaging SVI Media LLC for media services, you agree to the following Terms of Service. These terms form a legally binding agreement between you ("the Client") and SVI Media LLC ("the Agency").
1. Provision of Services
The Agency will provide the media services as outlined in the mutually signed Statement of Work (SOW). The SOW will detail the scope, deliverables, and specific services to be rendered. Services are provided with professional skill and care.
2. Timelines
All timelines provided are good-faith estimates. The Agency will strive to meet these timelines but is not liable for delays caused by the Client's failure to provide necessary feedback, assets, or approvals in a timely manner, or for delays caused by third-party platforms.
3. Payment Terms
The Client agrees to pay all fees as specified in the SOW. Invoices are typically issued on a monthly basis and are due upon receipt. Late payments may result in a suspension of services. Fees for services rendered are non-refundable.
4. Confidentiality
Both parties agree to keep all proprietary information, including business strategies, campaign data, and customer information, strictly confidential during and after the term of the agreement.
5. Intellectual Property
Upon full payment, the Client shall own the specific deliverables created by the Agency for the Client as outlined in the SOW. The Agency retains ownership of all its pre-existing methodologies, tools, and intellectual property used in the provision of services.
6. Legal Disclaimers & Limitation of Liability
The Agency does not guarantee specific results or outcomes (e.g., search engine rankings, revenue increases). Media performance is subject to external factors beyond the Agency's control. The Agency's total liability under this agreement shall not exceed the total fees paid by the Client in the preceding three months.
7. Termination
Either party may terminate the agreement with 30 days' written notice. The Client is responsible for payment of all services performed up to the date of termination.
